Job description

• We are seeking a highly organized, detail-oriented Corporate Paralegal (P3) to join our growing team. Reporting to an Assistant General Counsel, this role will provide support to the Legal Department, Senior Leadership Team, and Board of Directors, with responsibility for corporate governance and related administrative functions across the organization. The role will also serve as the administrator of the Legal Department's signature portal, managing the intake, coordination, and execution of contracts and other documents routed for signature across the business. This is a high-impact opportunity to work closely with senior in-house attorneys and business leaders on governance, transactional, and operational matters in a fast-paced renewable energy organization.

Responsibilities

• Coordinate with attorneys, executive leadership, and business stakeholders to collect, organize, and finalize board and committee materials.
• Prepare and distribute board and committee agendas, materials, and minutes, including drafting documents, coordinating with presenters and authors, and routing documents for signature.
• Attend Board of Directors and Board Committee meetings and provide in-meeting support, including management of presentation materials, coordination with presenters, tracking action items, and facilitation of meeting logistics. Maintain board and committee calendars and annual work plans.
• Support onboarding and training processes for new board members and officers.
• Create and maintain electronic files, databases, and spreadsheets to ensure accuracy of board and governance records.
• Conduct research and respond to information requests from directors, officers, and internal stakeholders.
• Maintain Boardvantage and SharePoint sites, libraries, and forms, including internal distribution lists and security permissions.
• Own end-to-end administration of the Legal Department's signature portal, including intake, workflow management, execution coordination, reporting, and continuous process improvement.
• Triage incoming signature requests, confirm appropriate legal review has occurred, and route documents to the correct signatories based on LRE's delegation of authority and signing matrix.
• Independently manage day-to-day governance and signature workflows, escalating novel, high-risk, or legally sensitive matters to counsel as appropriate.
• Ensure executed copies are distributed to relevant business teams.
• Develop and maintain standard operating procedures, templates, and reporting for the signature portal; identify and implement workflow improvements.
• Manage user permissions, templates, and audit logs within the signature platform.
• Independently draft and review routine entity governance documents (e.g., written consents, resolutions, secretary's certificates, incumbency certificates, powers of attorney, org charts, certifications of authority, and formation documents).
• Independently manage routine entity maintenance activities, including entity formations, qualifications, dissolutions, governance filings, registered agent matters, and organizational recordkeeping, escalating non-routine legal issues to counsel. Maintain and update the Company's entity management database, minute books, and organizational charts for LRE's project companies, holding companies, and other affiliates.
• Manage the build-out and continued enhancement of the entity management system, including data entry, configuration, and routine record reviews and audits.
• Assist with KYC, UBO, beneficial ownership, bank onboarding, and similar third-party information requests.
• Manage the Legal Department inbox(es) by responding to or routing requests, coordinating timely follow-up, and organizing emails for recordkeeping.
• Coordinate mailing and courier of sensitive original documents.
• Scan, upload, file, and organize documents across LRE's contract and document management systems.
• Perform other duties as assigned to support the goals of the Legal Department.

Requirements

• Bachelor's Degree required; paralegal certificate preferred.
• Minimum 6 years of experience in a similar paralegal/corporate governance role, ideally in-house or supporting an in-house legal team.
• Demonstrated experience administering an electronic signature platform (DocuSign, Adobe Sign, or similar) and managing high-volume signature workflows.
• Familiarity with Delaware LLC governance and multi-state qualification/compliance.
• Advanced proficiency in Microsoft Word, PowerPoint, Outlook, SharePoint, and Adobe Acrobat Pro.
• Experience with entity management software (e.g. hCue).
• Proven ability to exercise sound judgment, discretion, and professionalism when supporting senior leadership and members of the Board of Directors.

• Strong organizational skills with the ability to manage competing priorities and reliably meet deadlines in a fast-paced environment.
