Associate Corporate Counsel at Commvault in United States

Job description

• Commvault is looking for an Associate Corporate Counsel to join our Corporate Trust Team and play a hands-on role in corporate governance, SEC reporting, sustainability, strategic transactions, and other key corporate legal initiatives. Reporting to our Senior Corporate Counsel, you will work across the full breadth of the corporate legal function at a publicly traded cyber resilience company. This position is well suited for a resourceful, detail-oriented professional who thrives in a dynamic environment and seeks to build expertise across multiple legal disciplines.

Responsibilities

• • Support the preparation and review of SEC filings and proxy season activities, including benchmarking and regulatory research.
• • Prepare board and committee materials, governance documentation, and maintain corporate records.
• • Support the sanctions program, including screening alerts, researching flagged entities, and coordinating with internal stakeholders on escalation and resolution activities.
• • Coordinate sustainability and governance assessments and support the preparation of Commvault's annual Sustainability Report.
• • Support M&A transactions, Treasury matters, commercial legal projects, and other cross-functional initiatives as needed.
• • Assist with litigation, including coordinating with outside counsel and supporting discovery and case management activities.
• • Research, draft, and recommend updates to corporate policies, track policy review cycles, and coordinate cross-functional approvals.
• • Monitor legal and regulatory developments and assess potential impacts on the business.
• • Contribute to a wide range of ad hoc projects across the Corporate Trust Team.

Requirements

• • JD from an accredited law school and active bar membership in at least one U.S. jurisdiction required.
• • 2-3 years of experience in corporate law, capital markets, securities compliance, corporate governance, or a related practice area, including law firm or in-house experience.
• • Familiarity with SEC reporting, proxy processes, and public company governance is a plus.
• • Strong legal research and writing skills, with the ability to synthesize complex regulatory developments into clear, actionable analysis.
• • Detail-oriented, organized, and comfortable managing multiple concurrent workstreams with shifting priorities.
• • Self-starter who takes initiative, identifies process improvements, and follows through independently.
• • Strong interpersonal and collaboration skills with the ability to effectively partner across departments and organizational levels.
