Corporate Paralegal and Search Clerk at Lawson Lundell LLP in Calgary, Alberta

Job description

• Lawson Lundell LLP has an opportunity for a full-time intermediate Corporate Paralegal and Search Clerk to join our Corporate Services team in our Calgary office. This is an excellent opportunity for a paralegal at the intermediate level, who is looking for a new and exciting challenge at a growing Western Canadian law firm.

Responsibilities

• Review minute books and prepare Alberta and Federal annual maintenance documents, including annual returns and resolutions.
• Draft routine correspondence and annual maintenance documents using Word, iManage, Outlook, DocuSign, and ALF.
• Prepare corporate documents for changes to directors, officers, registered and records offices, agents for service, and business name registration/amendment.
• Prepare corporate documents for incorporation, organization, and extra-provincial registration/amendment.
• File annual returns, notices of change, business name registration/amendment, incorporation, and extra-provincial registration/amendment.
• Conduct due diligence searches, including corporate, Personal Property Registry, Land Titles, litigation, Bank Act, and bankruptcy searches.
• Maintain electronic corporate records by saving documents to the firm’s document management system and electronic minute books.
• Generate electronic copies of minute books and prepare correspondence for the distribution of physical minute books, share certificates, and corporate seals.
• Prepare physical records for archiving or destruction.
• Maintain the bring-forward system and monitor applicable deadlines.
• Receive, review, and distribute general department mail.
• Record time using Aderant accounting software.
• Complete other administrative duties as required.

Requirements

• Hold a Legal Administrative Assistant or Paralegal certificate from an accredited institution.
• Hold CORES Level 1 and CORES Level 2 certification and can complete tasks with that level of experience.
• Demonstrate knowledge and experience of the ALF corporate records database.
• Communicate effectively, both verbally and in writing.
• Organize work effectively, manage multiple priorities, and meet deadlines.
• Produce accurate, high-quality work with strong attention to detail.
• Work independently while contributing effectively within a team environment.
• Demonstrate strong computer skills, including document formatting and word processing.
