Job description

• The Senior Paralegal, Corporate provides experienced, largely self-directed paralegal support to the Deputy General Counsel and Legal function across litigation and claims, contracts, records management, legal operations, corporate governance, and entity management.
• This is a role for a seasoned paralegal, who is highly organized, self-motivated, and able to work with minimal day-to-day supervision. The role is scoped for someone who can be assigned new and varied projects, identify the steps and stakeholders necessary to move the work forward, and take matters from intake through completion.
• Scope boundary: This role does not provide legal advice, exercise independent legal judgment on matters of significance, or represent the company in any legal capacity. All work is performed under the supervision and direction of licensed counsel
• This is an onsite role in our global headquarters in Providence, UT.

Responsibilities

• Litigation, Claims & Legal Operations — 30%
• Support the management of company litigation and pre-litigation matters under the supervision of counsel, including coordination with outside counsel and internal stakeholders.
• Maintain litigation and matter files; case status, key developments, and outstanding action items.
• Issue and track legal hold notices at the direction of counsel; coordinate document collection and preservation.
• Support discovery: document review logistics, production tracking, and coordination with outside counsel.
• Maintain the matter management system and track open matters, deadlines, and status.
• Tender litigation matters and other claims to applicable insurers; coordinate with insurance carriers and brokers and track coverage determinations and related follow-up.
• Review and process outside counsel invoices against the legal budget; report on legal spend
• Contract Administration — 30%
• Prepare drafts of routine agreements from approved templates to include but not limited to: non-disclosure agreements, vendor and supplier terms, consulting agreements, amendments, letters and other routine documentation.
• Manage the contract intake queue, administer the company’s contract lifecycle management system, route matters to the appropriate reviewer, and track status through execution.
• Own the contract repository: execution, filing, metadata, renewal and expiration tracking, and reporting on upcoming obligations.
• Apply and maintain established document naming conventions, filing protocols, and organizational standards so executed agreements and related records are readily identifiable and retrievable.
• Coordinate contract execution, signatures, filing, and distribution of completed agreements.
• Track outstanding items and proactively follow up with attorneys, business stakeholders, and counterparties to move contract matters toward completion.
• Support contract assignment and novation work arising from the integration of legacy businesses.
• Flag non-standard terms against the approved playbook and escalate to counsel.
• Legal Operations, Records Management & Compliance — 25%
• Manage and prioritize legal department workflows, calendars, deadlines, and matter trackers; proactively follow up on outstanding items and action items.
• Maintain organized, accurate, and readily retrievable legal department files, records, and repositories.
• Establish and maintain consistent document naming conventions, filing protocols, and records-management practices across legal department matters.
• Maintain and administer legal department technology systems, including contract lifecycle management, matter management, document repositories, and other legal software and tools.
• Maintain the records retention schedule and support periodic records disposition.
• Assist with regulatory and compliance filings, and maintain supporting documentation.
• Support privacy and data protection administration, including maintenance of processing records and vendor documentation.
• Interact with business stakeholders across the organization to obtain information and documentation, communicate status, coordinate next steps, and support completion of legal department matters.
• Coordinate certificates of insurance, W-9s, and similar supporting documentation for counterparties.
• Assist the Deputy General Counsel and other members of the Legal function with special projects, administrative matters, and other legal department initiatives as assigned.
• Corporate Governance & Entity Management — 15%
• Maintain the corporate entity portfolio: formation documents, minute books, equity and membership records across all legacy and current entities.
• Support the preparation and filing of annual reports, registered agent updates, foreign qualifications, withdrawals, and other state-by-state entity filings.
• Draft and circulate board and member consents, resolutions, and meeting minutes for counsel review.
• Support post-merger entity rationalization: track dissolutions, mergers, name changes, and the downstream filings each triggers.
• Maintain the corporate calendar and ensure statutory deadlines are met.

Requirements

• Required
• 10+ years of paralegal experience, including substantial corporate or transactional work.
• Paralegal certificate from an ABA-approved program, an associate or bachelor’s degree, or equivalent demonstrated experience.
• Demonstrated experience with entity management and corporate governance filings across multiple states.
• Demonstrated experience administering contracts through a full lifecycle, including repository and obligation tracking.
• Ability to work with limited supervision, manage competing deadlines, and determine independently when a matter requires counsel.
• High accuracy and disciplined document and records management.
• Proficiency with Microsoft Office and comfort learning contract, matter, and docketing systems.
• In-house legal department experience, particularly in consumer products or manufacturing.
• Experience assisting with litigation and coordinating with outside counsel.
• Experience with contract lifecycle management or matter management platforms.
• NALA Certified Paralegal (CP) or NFPA Registered Paralegal (RP) credential.
• Familiarity with records retention and data privacy administration.
