Responsibilities

• • Support the General Counsel and legal services department
• • Administration of public company board and committee meeting process, maintain calendar, coordinate agendas, maintain database of resolutions
• • Prepare minutes and other routine corporate secretary documents for parent company and global subsidiaries
• • Maintain accurate and complete corporate records, minute books, entity records, and corporate governance databases, including coordination of required federal, state, local, and international filings.
• • Coordinate with internal business units and outside counsel to prosecute and maintain intellectual property registrations
• • Support equity plan administration, including Section 16 filings and Rule 144 opinions
• • Support with legal operations processes, including processes relating to financial statement audits, SOX compliance and insider trading compliance
• • Develop and implement reports for monitoring outside legal expenses
• • Confidentiality and sensitive information management
• • Support other projects as necessary

• • Minimum of 7 years’ experience and Paralegal Certificate required
• • Experience working with public company corporate governance and board of directors preferred
• • Experience working for an international company a plus
• • Experience in the life sciences industry a plus
• • Strong computer skills, including advanced proficiency with Microsoft Office/365 products (Word & Excel)
• • Experience with Salesforce and/or Shareworks a plus
