• A leading national law firm with a top-ranked real estate practice is seeking a mid- to senior-level associate to join its New York-based team. The firm represents institutional investors, developers, lenders, and real estate operators across a broad range of asset classes.
• This role offers exposure to complex, high-value joint ventures, financings, acquisitions, and strategic real estate transactions. The ideal candidate will thrive in a fast-paced, high-volume environment, working closely with partners and cross-disciplinary teams while taking ownership of meaningful transactional components.
• The ideal candidate will come from an Am Law 50 firm and be well versed in public commercial lending and sophisticated capital structures, including debt funding, asset-based lending, structured finance, and mezzanine loan transactions.

Responsibilities

• Structure and negotiate real estate joint ventures between institutional investors and operating partners.
• Advise clients on complex real estate financings, including construction loans, bridge loans, and permanent financing, representing both borrowers and lenders.
• Handle acquisitions and dispositions across multiple asset classes, including office, multifamily, industrial, hospitality, and retail.
• Draft and review term sheets, loan documents, JV agreements, purchase and sale agreements, and related transaction documents.
• Manage multiple deal components and coordinate with cross-functional legal teams, including tax, corporate, and fund formation attorneys.

Requirements

• J.D. from an accredited U.S. law school with strong academic credentials.
• 7–10 years of experience at a top-tier law firm focusing on real estate finance, commercial lending, and/or joint ventures.
• Demonstrated experience in public commercial lending transactions, including debt funding, asset-based lending, structured finance, and mezzanine financing.
• Demonstrated ability to handle substantial portions of real estate transactions independently.
• Strong drafting, negotiation, and deal management skills.
• Admission to the New York Bar or eligibility for prompt admission.
• Experience on both lender-side and borrower-side real estate financings.
• Background in large institutional joint ventures and complex capital structures.
• Familiarity with fund clients or REITs is a plus.
• Proven ability to operate in a high-volume, fast-paced deal environment while maintaining excellent client communication.
